Introduction

Welcome to Zepel (Pvt.) Ltd. (“Zepel”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website https://www.zepel.co (“Website”) and the services provided through it (the “Services”).
By registering as a Brand or Manufacturer, or otherwise using our Services, you agree to be bound by these Terms.

We provide a B2B sourcing platform connecting brands (based in UK, Europe & US) with pre-vetted textile manufacturers in Pakistan. We facilitate sourcing, logistics support, quality assurance and ethical compliance.

Definitions

Brand means a business registered on the Website seeking to source textile production through Zepel.
Manufacturer means a textile manufacturing entity (based in Pakistan) registered on the Website offering production services to Brands.
User means any Brand or Manufacturer using our Website or Services.
Order means a manufacturing or sourcing request placed by a Brand with a Manufacturer via our Services.
Supplier Network means the network of pre-vetted Manufacturers registered via Zepel.

Eligibility & Registration

You must be at least 18 years old (or the legal age in your jurisdiction) and have full legal capacity to enter into these Terms.
Brands must provide accurate company details, contact information, and sourcing requirements.
Manufacturers must provide truthful factory details, export-readiness information, certifications, capacity data and comply with our onboarding verification.
By registering you agree to keep your account credentials secure and notify Zepel of any unauthorised use.

Services & Platform Use

Zepel acts as a facilitator and match-maker between Brands and Manufacturers; Zepel does not automatically become a party to the manufacturing contract between a Brand and a Manufacturer (unless otherwise agreed).
Brands may post Orders, review Manufacturer profiles, and engage with selected Manufacturers.
Manufacturers may submit profiles, respond to RFQs, and join the Supplier Network per the manufacturer onboarding criteria.
Zepel may provide additional logistics, tracking, quality assurance, export-logistics and supply-chain support services.

Orders, Payments & Fees

When a Brand places an Order via the Services, the Brand and the selected Manufacturer enter into a manufacturing agreement under mutually agreed terms unless Zepel arranges otherwise.
Zepel may charge Brands and/or Manufacturers fees for Services. The applicable fee structure will be made available on our Website or via agreement.
Payment terms, production lead-times, delivery schedules, MOQ (minimum order quantities) and quality assurance are to be agreed by the Brand and Manufacturer.

User Terms & Conditions

Brands

Provide clear and accurate specifications, samples, designs, quantities and required delivery timelines.
Ensure compliance of all materials, designs, trademarks and products with applicable laws (including import, export, IP, safety and sustainability regulations).
Use the Supplier Network and Services only for lawful production purposes.

Manufacturers

Manufacture in accordance with agreed specifications, quality standards, delivery schedules and ethical labour, environmental and social standards.
Disclose to Zepel and to Brands their facility details, certifications, capacity, subcontracting practices and any changes thereof.
Comply with Zepel’s Supplier Code of Conduct (or equivalent), including no child or forced labour, safe working conditions, environmental compliance and transparency.

All Users

You must not use the Website or Services for spam, unlawful or fraudulent activities, data scraping, or to infringe IP, trade secret or other rights.
You must comply with all applicable laws in your jurisdiction and in cross-border trade, including export/import controls, sanctions, sustainability reporting, data protection and anti-bribery legislation.

Intellectual Property

All content on the Website, including logos, text, graphics, data, images, software and the platform’s design, are the property of Zepel or its licensors.
You may not copy, reproduce, distribute, reverse-engineer or create derivative works of the Website or its Content except as permitted under these Terms.
Brands must own or have licence for all designs, trademarks and materials provided to the Manufacturer.

Limitation of Liability & Disclaimers

Zepel provides the Services “as is” and “as available”, without warranties of any kind.
Zepel is not liable for:
- The manufacturing performance of any Manufacturer.
- The execution or fulfilment of any Order between a Brand and a Manufacturer.
- Any losses (direct or indirect) arising from use of the Website, delays, quality issues, supply-chain disruptions, or third-party logistics. (Similar to Manufy limitation clause)
In jurisdictions where limitation of liability is restricted, such limitations may not apply.

Termination & Suspension

Zepel may suspend or terminate a User’s account or access if the User breaches these Terms, engages in unlawful behaviour, fails to pay fees, or acts in a manner harmful to Zepel’s operations or other Users.
On termination, a User must cease use of the Services, settle any outstanding obligations, and immediately return or destroy confidential information of other Users and Zepel.

Data Protection & Privacy

Users agree to the collection, use and sharing of their personal data as described in Zepel’s Privacy Policy.
Cross-border data transfers (e.g., EU/UK ↔ Pakistan/US) are subject to applicable data protection laws (such as the GDPR) and appropriate safeguards.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of [Insert governing jurisdiction, e.g., England & Wales or Pakistan as agreed].
